Terms of Service

You must be at least 18 years old and capable of forming a binding contract to use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to act on its behalf and to bind it to these Terms.

You may use the Site to learn about Culper Systems, to contact us, and to request information, a demo, or a pilot. Submitting an inquiry does not create any obligation on either party and does not guarantee that a demo, pilot, or commercial relationship will follow. Culper Systems may change, suspend, or discontinue any part of the Site at any time without liability.

Any information you submit through the Site (including demo or pilot requests) is for the purpose of evaluating a potential business relationship. Any resulting pilot, subscription, or other engagement — and any access to Culper Systems products or services — is subject to a separate written agreement executed by both parties. In the event of a conflict between these Terms and such an agreement with respect to that engagement, the separate agreement controls.

You agree not to:

• ›Violate any law or regulation in your use of the Site.
• ›Probe, scan, or test the vulnerability of the Site, except via our responsible-disclosure process (see our Security page).
• ›Attempt to access data or systems not intended for you.
• ›Interfere with or disrupt the Site, including by submitting malicious code or generating excessive traffic.
• ›Use automated means (bots, scrapers) to harvest data from the Site.
• ›Impersonate any person or entity, or misrepresent your affiliation.
• ›Use the Site to infringe anyone's intellectual property or privacy rights.

The Site and all content, software, graphics, interfaces, logos, trademarks, and trade dress are owned by or licensed to Culper Systems and are protected by U.S. and international intellectual property laws. CULPER and CULPER SYSTEMS are trademarks of Culper Systems Inc.; other Culper Systems marks are claimed as common-law or applied-for marks. Nothing in these Terms grants you any right or license to use any Culper Systems trademark.

If you submit ideas, suggestions, feedback, or other materials to us (“Feedback”), you grant Culper Systems a worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable license to use, modify, reproduce, and incorporate that Feedback into our products and services without obligation or compensation to you.

Our Privacy Policy describes how we collect, use, share, and protect your Personal Information. By using the Site, you agree that our handling of your information is governed by the Privacy Policy.

The Site is provided “as is” and “as available” without warranties of any kind, express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. Culper Systems does not warrant that the Site will be uninterrupted, error-free, or secure, or that defects will be corrected.

Any product roadmap, architectural claim, compliance statement, or performance statement made on the Site or in related marketing materials is forward-looking and subject to change.

To the fullest extent permitted by law, in no event will Culper Systems or its directors, officers, employees, affiliates, agents, contractors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits, lost data, or business interruption) arising out of or relating to your use of or inability to use the Site, even if Culper Systems has been advised of the possibility of such damages. Our total aggregate liability arising out of or relating to these Terms or the Site will not exceed one hundred U.S. dollars (US$100).

You agree to indemnify, defend, and hold harmless Culper Systems and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Site, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) content you submit to us.

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason. On termination, Sections 5, 6, 8, 9, 10, 12, and 13 will survive.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Subject to Section 13, you and Culper Systems agree to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware for any dispute not subject to arbitration.

Any dispute arising out of or relating to these Terms or the Site will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will be conducted in English in the State of Delaware or by video conference. You and Culper Systems waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing legal@culpersystems.comwith “Arbitration Opt-Out” in the subject line.

We may update these Terms from time to time. When we do, we will post the revised Terms on the Site and update the “Last updated” date. Your continued use of the Site after the changes take effect constitutes acceptance of the revised Terms.

These Terms constitute the entire agreement between you and Culper Systems with respect to the Site and supersede any prior agreements regarding the Site. If any provision is held invalid, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them freely.
